Confidentiality Agreement

The information contained in this Virtual Data Room ("VDR"), including any attachments (collectively, "Data") is confidential. By logging into this site, you:

  • acknowledge and undertake that you will use normal and reasonable precautions to protect the confidentiality of the Data;
  • undertake to hold the Data in strict confidence;
  • undertake to only use the Data for the purpose of considering a proposed Offer of units in the Ray White Invest Platinum Opportunity Fund and (if applicable) submitting an Application Form for such units (in the form attached to the Information Memorandum) ("Permitted Purpose") and not use or permit any other person to use the Data for any other purpose without the express prior written consent of Elfred Enterprises Limited trading as Ray White Invest ("Ray White Invest");
  • undertake to not disclose any of the Data to any person other than its employees or directors who require access to the Data for a Permitted Purpose;
  • undertake to promptly notify Ray White Invest upon becoming aware of any unauthorised access, copying, reproduction, distribution, disclosure or use of the Data;
  • undertake that in the event that you decide not to submit an Application Form, you will, at your expense cease all use of the Data and on demand by Ray White Invest:
    • return to Ray White Invest or destroy all hard copies of Data obtained directly or indirectly from Ray White Invest (other than those required by law to be kept); or
    • delete entirely and permanently all soft copies of any Data (other than those held on back-up systems which are not readily accessible);
  • undertake not to breach Division 3 of Part 7.10 of the Corporations Act 2001 (the Insider Trading provisions);
  • agree to notify Ray White Invest immediately of any change to the identity of your employer;
  • agree to advise Ray White Invest of any suspected non-compliance with the above terms by any member of your team immediately you become aware of it;
  • Ray White Invest does not make any representation or warranty as to accuracy, completeness, currency or reliability of the Data, including, but not limited to, forecast information.
